MINI-SESSION AGREEMENT This agreement is between Mandee Johnson, DBA CleftClips (hereinafter Photographer) and * First Name Last Name (hereinafter Client) relating to the mini session shoot scheduled to take place on * Shoot Date MM DD YYYY Time * Hour Minute Second AM PM Session Start Time * The session starts at the date and time above. The Client understands if they're late, it will affect how long their session is with the Photographer. Agree Shoot Length + Deliverables: * Mini sessions are 20 minutes in length. The Photographer will edit, color correct, and deliver a minimum of 10 images from the session. Photographer will send the final images to the Client via an online gallery. Agree Payment Policy, Expenses, and Tax: The Client shall pay the full amount due at the time of the booking. The mini-session shall be non-refundable except as set forth above in the “Limitation of Liability” section. Invoices will be paid through Stripe via Calendly via debit or credit card. Agree Cancellation Policy: * This contract between Photographer and the Client shall not become effective until it is signed and the deposit paid. At the time the agreement takes effect, the Photographer shall reserve the date and time agreed upon and not make any other reservations or accept any other clients for said date and time. For this reason, in the event that the Client cancels the contract for any reason, including but not limited to change of heart, personal illness, affairs, financial trouble, family issues, or a force majeure event (which shall be deemed to include, without limitation, an act of God, inevitable accident, fire, lockout, strike or other labor dispute, pandemic or epidemic, third-party breach of contract, riot or civil commotion, an act of public enemy, enactment, rule, order or act of government, terrorist activity, failure of technical facilities, or other cause of similar or different nature beyond the control of Photography which interferes with, prevents or impedes the Event or Photographer’s general business activities ) (hereinafter a Force Majeure Event), all monies paid at the time of such cancellation shall be retained by Photographer/Studio in order to offset its loss of business. Agree Limitation of Liability: * Photographer will assert their good faith efforts to photograph specified scenes and shall not be liable for failure to photograph any such specified individuals and/or scenes. Photographer shall not be liable to Client in the event Client is not satisfied with the photographs of the sessions. However, if the Photographer fails to perform (i.e., does not render services), and provided such failure is not the result of Client’s breach or a Force Majeure Event, the Photographer shall refund Client’s payment in full. The Photographer is not liable for any photos not included in the final product. The Photographer shall make good faith efforts to ensure that data is protected (waterproof casing, double backups, etc.) The Client agrees that the Photographer will not be held legally, financially, or emotionally liable for any footage lost. Agree Deliverables and Client Usage: * The Photographer will edit and custom color-correct the images and will be sent to the Client via an online gallery within two weeks. Rush turnaround will incur additional fees. Fees vary depending on the turnaround time. The edit and color correction in the final delivery to the client is the creative choice of the photographer. Change requests to the edit may result in additional fees. The Client can download high-resolution jpegs can be downloaded directly from their gallery. The Client can purchase prints and books through their print shop or with the Photographer directly. In addition, the Client retains full print rights. Agree Re-edits: * The images the Client receives are custom edited and prepared for printing; however, no photoshopping or “retouching” is done to any of the images. The fee for any additional retouching is $150/hr with a two-hour minimum. Agree Retention of Negatives: * Photographer does not warrant acceptance or obligation to produce orders received after six (6) months from the session date. The Client agrees that the Photographer will not be held legally, financially, or emotionally liable for any footage loss due to any Force Majeure Event, corruption, theft, or damage during these six (6) months. Agree Rights to Ownership: * Photographer owns all copyrights to all the images created. Photographer owns and retains negatives (digital RAW) produced in connection with this agreement. Photographer may not sell or publish any image produced in connection with this event without written permission by Client, excluding any and all self-promotion including but not limited to social media and websites. Agree Acceptance of contract terms by Client * This Agreement incorporates the entire understanding of the Client to all its terms. Any modifications of this Agreement must be in writing in the form of an Addendum and signed by all parties. Handwritten or email modifications to this agreement shall be void. The Client digital signing below shall be fully responsible for ensuring that full payment is made pursuant to the terms of this agreement.
